e-Cement Sales Service Agreement

1.

Access to e-Cement Sales

 

1.1

By accessing this system, I confirm that I am authorized by me and/or my company to transact with Holcim Philippines and access the features determined by my user profile.  

My user profile is determined through written endorsement by the Super User of my company. The Super User may be the owner, general manager, proprietor or whoever is named in the dealership agreement with Holcim Philippines.

 

1.2

In case my user profile is incorrect (e.g. I cannot access features that I should be able to access, or vice versa), I will immediately inform the e-Cement Sales Administrator through phone call and written request or email at esales@holcim.com for immediate correction.

1.3 Holcim Philippines shall provide me with instructions on how to use the online services with e-Cement Sales. I can access my account with the use of Internet enabled computer, approved browser and my Username and Password.
1.4

I can access my account in e-Cement Sales, seven (7) days a week, twenty-four (24) hours a day. However, at certain times, some or all of e-Cement Sales services may not be available due to system maintenance. System downtime for maintenance could occur as early as 7 PM (Philippine time).

During downtime, I may still make inquiries and do transactions regarding my account through your customer care by dialing 1-800-100-465-246 for PLDT toll free and 1800-38-465-246 for Digitel toll free. 

2.

Security Password Usage

 

2.1

I agree not to disclose my Password to anyone.

 

2.2

I agree to assume full responsibility for all transactions made in my accounts through the use of my Username and Password. It is understood that the Password is known only to me and as such, any transaction effected using my Password shall be conclusively presumed made by me or authorized by me.

 

2.3

I further agree and undertake to change my Password from time to time as I deem necessary and should I feel that my Password has been compromised, I shall immediately change my Password.

 

2.4

I agree that Holcim Philippines, at its sole discretion, is entitled to act on the instructions received via e-Cement Sales, which Holcim Philippines reasonably believes emanated from me by the use of my User ID and Password. I further agree that the Holcim Philippines shall not be liable for acting in accordance with or based on the e-Cement Sales service requests and/or instructions through my e-Cement Sales account, which it believes emanated from me.

2.5 If I am the Super User, I authorize Holcim Philippines to give direct access to my account, employees, family members and other individuals, whom I properly endorse. These individuals will be termed sub-users and as such, I am also responsible for all transactions made through their Usernames and Passwords. I understand that with my written endorsement, I also specified the features that they can access.
2.6 If I am the Super User, I can overwrite any of my sub-users' passwords online anytime. 

I will also inform Holcim Philippines through email or written request to deactivate any sub-user. I understand that deactivation will take place within 3 days upon receipt of request.

I understand that the following are some of the services available in e-Cement Sales:

 

3.1

Request for Quotation - I can inquire current cement prices online and receive a quotation number. I can then use the quotation number as reference when I order cement online.

 

3.2

Account Information Details - I can access various account information such as my credit analysis report, current statement of account, account history, customer sales performance report, trucks in line report, returnable items report, and other reports Holcim Philippines may include in the system. I may also download and print this information for reconciliation and reference purposes.

 

3.3

Place an Order - I can place my cement order online and get a scheduling agreement (SA) number as confirmation.

   

3.3.1

Provided that I pass all credit checks, the system will automatically process my order and the cement will be made available for loading at my requested schedule.

   

3.3.2

Should my SA gets blocked, I understand that my order will not be processed until the SA is released by our Credit group. I am also aware that I should take the necessary steps to facilitate the unblocking of my order.

   

3.3.3

I shall order cement that will match the available transportation load configuration. These may vary in the types of trucks and vessels that Holcim Philippines own or contract. This is strictly implemented for delivered or CIF sales.

     

3.3.3.1

Delivered Sales - The configuration of available trucks from contracted/in-house haulers from Holcim Philippines are: 10-wheeler truck - 500 or 600 bags; trailers - 1,000 bags; for vessels, 1,800 - 2,000 MT. Depending on sea conditions, we may opt to use bigger vessels. Holcim Philippines will inform me through e-mail or telephone call if there are changes.

     

3.3.3.2

Pick-up Sales - I may pick-up cement with the configuration of my own trucks or vessels, keeping in mind that I will not hamper queuing time at the plant where I will pick-up cement.

   

3.3.4

I will be able to create a loading schedule and indicate the day I want the cement to be delivered or picked-up. I also understand that I cannot schedule an order beyond two weeks from the time I ordered. Further, I will not hold Holcim Philippines liable if my schedule is not met due to unforeseen events such as typhoons, plant breakdowns, and other acts of God.

   

3.3.5

I can cancel or reschedule my order only on items not yet served by Holcim Philippines. I will do the cancellation or rescheduling at least one (1) day prior to the nearest loading schedule. This is to give Holcim Philippines time to prepare for the adjusted requirements. I also understand that Holcim Philippines may not be able meet my requirements if I cancel or reschedule in less than one (1) day.

 

3.4

Product Catalogue - It is understood that I can view Holcim Philippines' available products and its chemical composition and properties.

   

3.4.1

I can access and download the mill/test certificate as often as my customers may need it. I also understand that the said certificate is updated regularly.

 

3.5

Follow up my Order

   

3.5.1

I can see all my orders and will be able to see their status online.

   

3.5.2

With this feature, I also should be able to see my trucks that are in queue.

   

3.5.3

Should I see in this service that my order is not yet on queue, I can call customer care and inform the customer care officer about my concerns.

 

3.6

View/Update my Company Data

   

3.6.1

I understand that Holcim Philippines will communicate with me through the company data displayed in this feature. Therefore I will diligently update the data should there be any changes with any of my company's information.

   

3.6.2

I will not restrict Holcim Philippines to access this data should the need arises.

 

3.7

Change My Password

   

3.7.1

Please refer to Item 2 of this agreement.

 

3.8

Give us Feedback

   

3.8.1

I understand that this service is a text field where I can put in my suggestions, complaints, and any other issues pertaining to my transactions with Holcim Philippines. I am also aware that this procedure will automatically send an email to the person concerned and it will be acted upon immediately.

 

3.9

e-Payment
   

3.9.1

Through this feature, I will be able to pay my outstanding invoices and scheduling agreements online through funds transfer from my enrolled account to Holcim Philippines' account.

3.9.2 I may also opt to pay over the counter using the system-generated Payment Number as reference.
   

3.9.3

As soon as Holcim Philippines receives payment confirmation from the bank, Holcim Philippines will process this payment

   

3.9.4

I also understand that Holcim Philippines is not responsible for bank's failure or delay to execute said transfer due to, but not limited to, insufficient funds, failure of electronic or mechanical equipment or communication lines or other interconnection problems, severe weather, earthquakes, floods or other such events, resulting in non-fulfillment of the order or orders.

4.0

Holcim Philippines may introduce new services for e-Cement Sales transactions from time to time and I will be notified of these new services. By using these services when they become available, I agree to be bound by the rules that will be made available to me concerning these services.

4.

Other Agreements

 

4.1

I hold Holcim Philippines, as well as any of their officers and representatives free and harmless, as well as indemnify them, from any and all liabilities, claims, damages, suits of whatever nature, arising out of or in connection with the implementation of this arrangement, including any and all errors inadvertently committed, any computer-related errors resulting to the company's failure to effect any transaction that I may undertake via internet. Holcim Philippines will not be liable for any losses, resulting from circumstances over which Holcim Philippines has no direct control, including, but not limited to, the failure of electronic or mechanical equipment or communication lines or other interconnection problems, severe weather, earthquakes, floods or other such events.

 

4.2

All terms and conditions of my existing dealership agreement (s) with Holcim Philippines insofar as not inconsistent herewith shall remain in full force and effect.

 

4.3

I agree that where particular transactions, products and services are subject to specific terms and conditions agreed upon between me and Holcim Philippines, insofar as not inconsistent herewith, or that are applicable thereto from time to time, such terms and conditions shall take precedence.

 

4.8

Holcim Philippines may modify, amend or revise the terms and conditions applicable to any of the services provided through e-Cement Sales from time to time upon mailing, e-mailing or delivering a notice of the modifications, amendments or revised terms and conditions at the address shown on your account records and the revised terms and conditions shall correspondingly be effective. Continued use of the e-Cement Sales thereafter will constitute acceptance of the modifications and revised agreement. The company may send any notice to me, including, but not limited to, notifications of modifications via electronic mail. The company reserves the right to terminate this Agreement and my use of the Services in whole or in part at any time without prior notice.

I hereby agree to be governed by the terms and conditions of E-CEMENT SALES AGREEMENT. I hereby also acknowledge to have read and fully understood the said terms and conditions.
